These general terms and conditions of sale apply to all sales between IVR S.p.A. (hereinafter referred to as the “Seller”) and its customers (hereinafter referred to as the “Customer”) and shall govern all goods listed in the catalog published on the website www.ivrvalvole.it (hereinafter referred to as the “Catalog”).
These general terms and conditions of sale regulate all offers, orders, and order confirmations exchanged between the parties.
The technical specifications to which the Customer must adhere are indicated in the Catalog. The data, measurements, articles, prices, features, performances, and all other information provided in catalogs, price lists, brochures, circulars, etc., are indicative in nature. They are subject to change without prior notice and are binding only when expressly confirmed in the Seller’s order acceptance or confirmation.
These general terms and conditions of sale are deemed valid and fully accepted upon acceptance of the offer.
Orders or commitments made by representatives, agents, or other auxiliaries of IVR S.p.A. are not binding on the Seller unless confirmed in writing by the Seller. Any modification to the order shall only be valid upon written confirmation by the Seller.
Orders will be fulfilled only for complete packaging and with a minimum amount of €500.00.
Products will be delivered within the timeframe and under the delivery terms (Incoterms 2020) agreed in writing by the parties in the order confirmation.
Delays due to causes beyond the Seller’s control do not entitle the Customer to postpone payment, cancel the confirmed order, or claim damages of any kind.
Storage costs arising from delays in acceptance by the Customer shall be borne by the Customer.
The prices of the products are those indicated in the order confirmation and are valid only after written confirmation by the Seller.
The Seller reserves the right to amend prices by providing the Customer with 30 days’ prior notice. Should raw material costs increase by more than 5%, a proportional price increase will automatically apply to the products. Price determination and adjustments will refer to The London Metal Exchange (LME).
The price shall be paid by the Customer under the terms specified in the order confirmation and the corresponding invoice.
Ownership of the products remains with IVR S.p.A. until full payment of the price is received.
The Seller warrants that the product complies with the technical specifications described in the Catalog. This warranty is subject to the correct use and installation of the product by the Customer.
Under no circumstances shall the Seller be held liable for consequences arising from the use, installation, or replacement of the Seller’s materials.
Products must be inspected by the Customer upon receipt, and any defects must be reported in writing to the Seller within 8 days of delivery or discovery in the case of hidden defects.
In the event of defects, the Customer must provide the Seller with a detailed description of the defect, indicating the batch number, attaching photos, and specifying the nature of the defect.
The warranty is valid for two years from the date of delivery.
The warranty is limited to the repair and/or replacement of the product and/or price reduction, as evaluated by the Seller. Any additional warranty is excluded.
In case of damage to persons and/or property resulting from product defects, the Seller—subject to evaluation—shall indemnify the Customer within the limits of its liability insurance policy.
Returns of defective goods must be made by the Customer following the instructions provided via email by IVR S.p.A. Returns are not accepted without prior written authorization from the Seller, and the goods must be returned DDP (Delivered Duty Paid, Incoterms 2020) in the same condition in which they were received.
If the sale involves products bearing the Customer’s proprietary trademark, the Customer guarantees full and unconditional ownership of the trademark and authorizes IVR S.p.A. to use it to manufacture the products. The Customer agrees to indemnify and hold IVR S.p.A. harmless against any claims or actions, including those of third parties.
It is the Customer’s sole responsibility to define and communicate the technical specifications and information to be included on the product packaging, including compliance with applicable regulations, standards, and practices.
The information exchanged between the parties shall be used solely for the purposes outlined in these terms and conditions. Both parties agree not to disclose any confidential information exchanged during the transaction to third parties.
The Seller is entitled to suspend or delay its obligations in case of force majeure events, including but not limited to supplier delays, strikes, lockdowns, pandemics, wars, governmental seizures, natural disasters, and other catastrophic events.
These terms and conditions are governed by Italian law, excluding the application of the 1980 Vienna Convention on the International Sale of Goods.
Disputes arising from these terms, if the Customer is based in Italy or the EU, shall be submitted to the Court of Novara. For non-EU Customers, disputes shall be resolved by a single arbitrator appointed under the rules of the Milan Chamber of Arbitration, with the seat of arbitration in Milan and proceedings conducted in English.
The current price list Code BE01, dated December 2024, replaces the previous price list Code BC01, dated October 2023.
The general terms and conditions of sale available on the website www.ivrvalvole.it shall prevail.
